No último dia 22 de novembro de 2016, o Banco Central do Brasil realizou uma reunião para apresentação do novo sistema de Registro Declaratório Eletrônico, módulo Investimento Estrangeiro Direto (RDE-IED) e das alterações nas normas que passarão a vigorar a partir de 30 de janeiro de 2017.

O novo sistema visa simplificar os registros junto ao sistema eletrônico SISBACEN e uma das principais mudanças diz respeito à responsabilidade das informações declaradas ao órgão que passará a ser exclusiva da empresa brasileira receptora do investimento. Atualmente, os investidores não residentes e a empresa brasileira são responsáveis pelas informações prestadas ao Banco Central.

Outrossim, não haverá mais o cadastro da empresa no Banco Central conhecido como CADEMP, posto que as empresas passarão a ser identificadas apenas pelos seus cadastros junto à Receita Federal - CNPJ.

Outra alteração relevante diz respeito à obrigatoriedade das empresas com patrimônio líquido acima de R$ 250.000.000,000 (duzentos e cinquenta milhões de reais) terem que prestar Declaração Econômica-Financeira trimestralmente ao Banco Central.

As colocações e sugestões apresentadas na reunião estão sendo estudadas pelo Banco Central e, portanto, eventuais ajustes poderão ser implementados antes ainda da vigência do novo sistema.

Changes in the Brazilian Central Bank System (SISBACEN)

On November 22th, 2016, the Brazilian Central Bank held a meeting to present the new Electronic Declaratory Registration system of the Foreign Direct Investment (RDE-IED) module and the respective amendments to the regulations which will become effective on January 30th, 2017.

The new system aims to simplify the registers with the electronic system SISBACEN and one of the principal changes is related to the responsibility of the information provided to the entity that will become exclusive of the Brazilian company which receives the foreign investment. Currently, the foreign investors and the Brazilian company are responsible for the information provided to the Central Bank.

Furthermore, there will be no longer the corporate registry with Brazilian Central Bank known as CADEMP, and the companies will become to be identified by its Federal Taxpayer registry – CNPJ.

Other relevant change in the regulations is concerning to the obligation to provide Brazilian Central Bank with quarterly Economic and Financial Statements in case of the company with net equity higher than R$ 250.000.000,00 (two hundred and fifty million reais).

The opinions and suggestions presented on the meeting are been studying by Central Bank and, thus adjustments may be implemented before the new system become effective.
